1. Acceptance of Terms

By accessing or using this yacht marketplace platform ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. The Platform provides yacht listing, discovery, transaction facilitation, and post-sale management services.

2. User Accounts

You must register for an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate, current information and update it promptly. We reserve the right to suspend or terminate accounts that violate these terms.

3. Account Types

The Platform offers three account types: Buyer/Owner accounts for individuals looking to purchase or manage yachts; Broker accounts for licensed yacht brokers who list and sell yachts on behalf of clients; and Admin accounts for platform management. Broker accounts may be subject to additional verification requirements, including professional licensing validation.

4. Listings and Verified Content

Listings on the Platform undergo a verification process that may include document review, ownership confirmation, and condition assessment. Our Trust Score is an algorithmic assessment and should not be treated as a guarantee or warranty of any vessel's condition, value, or legal status. Buyers must conduct their own independent due diligence, including marine surveys, title searches, and legal review.

5. Data Rooms and Confidentiality

Access to yacht data rooms may require signing a Non-Disclosure Agreement (NDA). By signing an NDA, you agree to keep all data room contents confidential and use them solely for the purpose of evaluating the associated yacht. Watermarked documents are traceable to your account, and unauthorized distribution may result in legal action and account termination.

6. Transactions and Escrow

The Platform facilitates transactions through third-party escrow services (Escrow.com). We are not a party to any purchase agreement between buyers and sellers. All funds in escrow are held by the escrow provider, not by us. KYC (Know Your Customer) verification may be required before completing high-value transactions. We do not guarantee the completion of any transaction.

7. Fees

Broker accounts are subject to subscription fees as published on the Platform. Transaction facilitation fees may apply. All fees are non-refundable except as required by applicable law. We reserve the right to change our fee structure with 30 days' notice.

8. AI-Powered Features

The Platform uses artificial intelligence for yacht-buyer matching and other recommendation features. These recommendations are informational only and should not be considered professional advice. Match scores and recommendations are generated algorithmically and may not account for all relevant factors.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. We are not liable for any damages arising from the use of the Platform, including but not limited to losses from transactions, inaccurate listing information, or service interruptions. Our total liability shall not exceed the fees you paid in the twelve months preceding any claim.

10. Governing Law

These Terms shall be governed by the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
